These Terms of Service ("Terms") govern the use of NAMAI, the SaaS management platform for real estate agencies provided by Stefano Quadri, Address: Via Czestochowa, 11 — 60025 Loreto (AN), ("Stefano Quadri"). By registering for the Service or using it, the customer agency ("Customer", "Agency") fully accepts these Terms.
NAMAI is a software-as-a-service platform that allows real estate agencies to manage their client records, property portfolio, negotiations and the digitisation and archiving of documents, including identity documents collected as part of customer due diligence. The Service is currently offered in a pilot phase and its features may be changed, added to or removed during this phase, with notice to the Customer.
When using the Service, the Agency uploads and manages data relating to third parties: client records, property information and digitised documents, including identity documents. In relation to such data, the Agency acts as data controller and Stefano Quadri as data processor, as governed by the Privacy Policy and the related Data Processing Agreement. The Agency warrants that it has a suitable legal basis for collecting and uploading its clients' data to the platform, including identity documents, and that it complies with the applicable data protection and, where relevant, anti-money laundering legislation.
NAMAI and its software, trademark, interface and documentation are the property of Stefano Quadri or its licensors and are protected by the applicable intellectual property laws. Customers are granted a limited, non-exclusive and non-transferable licence of use for the duration of the contract. Data uploaded by the Customer (records, properties, documents) remains the property of the Customer or of the relevant data subjects.
Stefano Quadri takes reasonable measures to ensure the continuity and security of the Service, without however guaranteeing uninterrupted availability. Scheduled maintenance interruptions will be announced in advance where possible. As this is a pilot phase, specific service levels (SLAs) may be defined in dedicated contractual agreements with individual Agencies.
Access to the Service is governed by a paid subscription, with a monthly or annual billing period chosen by the Customer at purchase. The selected plan and billing period, together with the related fee, are shown at the time of purchase or activation of the Service.
To the maximum extent permitted by law, Stefano Quadri is not liable for indirect damages, loss of profits or loss of data arising from the use of or inability to use the Service, except in cases of wilful misconduct or gross negligence. Stefano Quadri is not responsible for the accuracy, lawfulness or completeness of the data and documents uploaded by the Customer, for which responsibility remains with the Agency as data controller.
The contract lasts for the subscription period selected by the Customer (monthly or annual) and renews automatically as indicated in point 7, unless cancelled by the Customer or terminated by Stefano Quadri with written notice in the event of a breach of these Terms. When the relationship ends, the Agency's data will be handled as provided by the Privacy Policy and the Data Processing Agreement, including deletion or return of the data at the Customer's request, subject to legal retention obligations.
Stefano Quadri may update these Terms to adapt them to regulatory or security requirements or to the evolution of the Service. Substantial changes will be communicated to the Customer with reasonable notice through the Service or by email; continued use of the Service after the changes take effect constitutes acceptance of them.
These Terms are governed by Italian law. The Court of Ancona shall have exclusive jurisdiction over any dispute relating to their interpretation or performance, unless otherwise required by mandatory consumer protection provisions.
